Welcome to Kaiki. These Terms and Conditions govern your access to and use of the Kaiki platform, including our website, mobile applications, social commerce channels, and related services. By accessing or using Kaiki, you agree to be bound by these Terms and Conditions. If you do not agree, you must not use the platform.
1. Definitions
In these Terms:
1.1 “Kaiki”, “we”, “our”, or “us” refers to Kaiki.
1.2 “Platform” refers to the Kaiki marketplace and related services.
1.3 “User” refers to any person who accesses or uses the platform.
1.4 “Buyer” refers to a user who purchases products through the platform.
1.5 “Seller” or “Vendor” refers to individuals or businesses listing products for sale
on Kaiki.
1.6 “Products” refers to goods listed on the Kaiki platform.
1.7 “Order” refers to a completed purchase request.
1.8 “C2C” refers to consumer-to-consumer transactions.
1.9 “B2C” refers to business-to-consumer transactions.
1.10 “BNPL” refers to Buy Now Pay Later services provided by third-party financial
partners.
2. Eligibility
2.1 Users must be at least 18 years old.
2.2 Users must have legal capacity to enter binding contracts.
2.3 Users must provide accurate registration information.
2.4 Kaiki reserves the right to suspend accounts that provide false or misleading
information.
3. Account Registration and Security
3.1 Users may be required to create an account.
3.2 Users are responsible for maintaining account security.
3.3 Users must keep login credentials confidential.
3.4 Kaiki is not liable for unauthorized account activity.
4. User Verification (KYC)
4.1 Kaiki may require identity verification including:
● Government-issued ID
● BVN or NIN
● Business registration documents
● Address verification
4.2 Failure to complete verification may result in suspension or restriction of
access.
5. Nature of the Platform
5.1 Kaiki is a multi-vendor marketplace connecting buyers and sellers.
5.2 Kaiki does not own, manufacture, inspect, or guarantee third-party products
unless expressly stated.
5.3 Kaiki acts solely as an intermediary facilitating transactions between users.
6. Seller Obligations
Sellers must:
6.1 List only genuine and legally permitted products.
6.2 Provide accurate descriptions, pricing, location, and condition.
6.3 Upload clear images and videos of products.
6.4 Maintain updated inventory.
6.5 Fulfill orders promptly and professionally.
6.6 Maintain transparent communication with buyers.
6.7 Comply with all applicable laws and regulations.
6.8 Sellers are solely responsible for the authenticity, legality, quality, and
fulfillment of their products.
Kaiki may remove listings or suspend sellers for violations.
7. Prohibited Activities
Users must not:
7.1 Sell counterfeit or illegal goods.
7.2 Engage in fraud, deception, or misrepresentation.
7.3 Harass or abuse other users.
7.4 Manipulate pricing or reviews.
7.5 Conduct off-platform transactions to avoid fees.
7.6 Upload false or misleading information.
7.7 Violate intellectual property rights.
8. Pricing and Payments
8.1 Prices are set by sellers unless otherwise stated.
8.2 Prices may change without notice.
8.3 Delivery fees, taxes, and charges may apply.
8.4 Kaiki earns:
● 5.7% commission on C2C transactions
● 6.7% markup on B2C transactions
8.5 Fees are deducted before seller payout.
8.6 Kaiki may cancel transactions suspected of fraud or abuse.
9. Orders and Cancellations
9.1 Orders depend on seller acceptance and product availability.
9.2 Orders may be cancelled due to:
● Product unavailability
● Pricing errors
● Fraud suspicion
● Payment failure
● Policy violations
9.3 Refunds are governed by Kaiki’s Refund Policy.
10. Buy Now Pay Later (BNPL)
10.1 BNPL services are provided by third-party financial partners.
10.2 Approval depends on credit assessment by the BNPL provider.
10.3 User data may be shared for verification and assessment purposes.
10.4 Non-repayment may result in penalties, restrictions, or credit reporting.
10.5 Kaiki is not a financial institution and does not issue loans.
11. Third-Party Services
11.1 Kaiki integrates third-party services including payments, logistics, BNPL, and
vendors.
11.2 Kaiki is not liable for actions, delays, or failures of third-party providers.
12. Shipping and Delivery
12.1 Delivery timelines are estimates and may vary.
12.2 Kaiki is not responsible for delays caused by external factors including
logistics issues or force majeure events.
13. Escrow, Payment Processing and Confirmation
13.1 Payments are processed and held in escrow by Flutterwave, a licensed
third-party payment service provider.
13.2 Funds are released only when:
● Buyer confirms delivery, or
● System auto-confirms after 48 hours
13.3 Buyers have 48 hours after delivery to confirm receipt.
13.4 After 48 hours, delivery is automatically confirmed.
13.5 During disputes, funds remain frozen in escrow until resolution is concluded.
14. Payouts to Sellers
14.1 Sellers are paid after escrow conditions are met.
14.2 Payouts are processed on:
● Tuesdays
● Fridays
14.3 Typical payout timeline is 2–5 business days after delivery confirmation,
subject to Flutterwave and banking processing timelines.
15. Price Negotiation
15.1 Buyers may submit price offers on products.
15.2 Sellers may accept, reject, or counter offers.
15.3 Negotiation is limited to two (2) rounds per transaction.
15.4 Offers expire after 24 hours if not responded to.
15.5 A transaction is only valid after mutual agreement and payment
completion.
16. Referral Program
16.1 Kaiki operates a referral reward system.
16.2 Referrers earn 25% of Kaiki’s earnings from referred transactions.
16.3 Where buyer and seller are referred by different users, referral earnings are
shared.
16.4 Where both parties are referred by the same user, that user receives full
referral earnings.
16.5 Kaiki may adjust or revoke rewards in cases of fraud, abuse, or
manipulation.
17. Returns and Refunds
17.1 Governed by Kaiki’s Return and Refund Policy.
17.2 Eligible cases include:
● Wrong item delivered
● Damaged products
● Misrepresentation
17.3 Some items may be non-returnable due to safety or category restrictions.
18. Dispute Resolution
18.1 Kaiki provides structured dispute resolution for users.
Timeline:
● Dispute must be raised within 48 hours
● Review begins within 24–48 hours
● Evidence submission: 3–5 business days
● Final decision: within 5–7 business days
● Refund/payout: 2–5 business days after resolution
18.2 Kaiki’s decision is final and binding within the platform.
19. Intellectual Property
All content on the platform is owned by Kaiki and protected by law. Users may
not copy or reuse content without written permission.
20. Privacy and Data Protection
Kaiki processes data in accordance with applicable laws including the Nigeria
Data Protection Act. Users consent to data use as outlined in the Privacy Policy.
21. Suspension and Termination
Kaiki may suspend or terminate accounts for:
● Violations
● Fraud
● Abuse
● Verification failure
● Legal or reputational risk
22. Limitation of Liability
Kaiki is not liable for:
● Third-party seller actions
● Product defects
● Delivery delays
● Financial losses
● Unauthorized account access
23. Indemnification
Users agree to indemnify Kaiki against claims arising from misuse, fraud, or legal
violations.
24. Governing Law
The governing law shall be the Arbitration and Mediation Act, 2023, Laws of the Federation of Nigeria.
25. Changes to Terms
Kaiki may update these Terms at any time. Continued use constitutes
acceptance.
